These Terms and Conditions govern your use of the Quillaja website at quillaj.live and the engagement of services offered by Quillaja. By accessing the website or using our services, you agree to these terms. If you do not agree, please do not use the website or engage our services.

By accessing our website or submitting an enquiry, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms and Conditions. Organisations engaging our services confirm that the individual accepting these terms has the authority to do so on behalf of the organisation.

3. Service Description

Quillaja provides survey and form response intelligence services to research, operations, and related teams in Malaysia. Our services include the Survey Insight Review, Form Intelligence Setup, and Response Insight Programme, each with a defined scope agreed in writing before work begins. Services are delivered primarily in English and are designed for business-to-business engagements within Malaysia.

4. Enquiries and Engagement

Submitting an enquiry through our website does not constitute a service agreement. A service engagement begins only when both parties have agreed on a written service scope and Quillaja has confirmed commencement. Work does not begin until the scope and any applicable payment terms are confirmed.

6. Intellectual Property

All website content, including text, design, and structure, is the property of Quillaja and may not be reproduced without permission. Deliverables produced under a service engagement are provided to you for your internal use. You may share deliverables within your organisation and with stakeholders directly relevant to the engagement. Deliverables may not be resold, published externally as independent research, or used to create competing services. The methodology and process documentation developed by Quillaja remain our intellectual property; your use of them is limited to maintaining the configured process within your organisation.

7. Payment Terms

Service fees are quoted in Malaysian Ringgit (RM) as flat rates per engagement. Payment terms are specified in the service scope document. Standard terms are 50% upon scope agreement and 50% upon delivery of the final output, unless otherwise agreed in writing. Accepted payment methods include bank transfer to a Malaysian bank account. Invoices are in RM and subject to applicable Malaysian taxes where required.

9. Refund and Cancellation

If a service engagement is cancelled before work begins, any deposit paid is refundable less a processing fee of RM 150. Once work has begun, fees for work completed to the point of cancellation are non-refundable. If Quillaja is unable to complete a service engagement due to circumstances on our side, we will refund fees for work not yet completed. Disputes about deliverable quality should be raised within the review period specified in the service scope; we will work to address reasonable concerns.

Our services are designed to assist with organising and summarising qualitative survey data. Deliverables represent a structured reading of the data provided and should be used as one input to your team's decision-making, not as the sole basis for decisions. We do not make claims about the completeness or representativeness of any survey dataset provided to us; the quality of the output is dependent on the quality and coverage of the input data. Quillaja does not provide legal, medical, financial, or regulatory advice.

11. Limitation of Liability

To the extent permitted by Malaysian law, Quillaja's total liability for any claim arising from a service engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses arising from your use of our services or deliverables. We are not responsible for decisions made by your organisation based on our outputs.

12. Indemnification

You agree to indemnify and hold Quillaja harmless from any claims, losses, or expenses arising from your breach of these terms, your misuse of deliverables, or the sharing of data with us that violates the rights of third parties or applicable law.

13. Termination

Either party may terminate a service engagement by written notice if the other party materially breaches the agreement and fails to remedy the breach within 14 days of written notice. On termination, you must cease use of any partially completed deliverables and pay for work completed to that point. Sections on intellectual property, confidentiality, limitation of liability, and governing law survive termination.

14. Dispute Resolution

These terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt resolution through direct negotiation. If negotiation does not resolve the dispute within 30 days, either party may seek resolution through the courts of Malaysia, with jurisdiction in Selangor. We are open to mediation as an alternative to litigation.

We may update these Terms and Conditions from time to time. Changes will be posted on this page with a revised "Last Updated" date. For ongoing service engagements, the terms in place at the time of scope agreement apply for the duration of that engagement. Continued use of our website after changes constitutes acceptance of the updated terms.
